Legal
These terms govern the AI implementation, AI employee training, and consulting services we provide. By engaging us or accepting a proposal, you agree to them.
What you should know up front: we build and advise to a professional standard, but AI systems are probabilistic and can produce errors, so outputs must be reviewed by you and we do not guarantee specific business results. Fees and deposits are payable as set out in your proposal and are generally non-refundable once work has started. We keep ownership of our underlying methods and reusable tools, and you receive a licence (or ownership of the specific deliverable on full payment, as agreed in your proposal).

These Terms and Conditions ("Terms") are entered into between Fortune & Treasure Trading Projects (Pty) Ltd, registration number 2015/410732/07, a business based in Pretoria, South Africa ("Fortune & Treasure", "we", "us", "our"), and the client who engages our services ("you", "your", "the Client").
They apply to our paid professional services, namely AI implementation, AI employee training, and consulting (together, the "Services"). They do not govern our free community or membership offerings, which are subject to their own separate terms.
You agree to these Terms when you accept a proposal, sign a statement of work, pay an invoice or deposit, or otherwise instruct us to begin work, whichever happens first. Where a signed proposal or statement of work conflicts with these Terms, the signed document takes precedence for that engagement.
We provide strategy, build, and deployment services to help businesses adopt and use AI effectively. Depending on what is set out in your Proposal, this may include:
The exact scope, deliverables, timeline, and fees for any engagement are defined in your Proposal. Anything not expressly included in the Proposal is out of scope and may require a separate agreement or additional fees.
We will provide the Services with reasonable skill and care and to a professional standard. We will keep you reasonably informed of progress.
Timelines in a Proposal are good-faith estimates. They depend on you providing what we need on time, including access, information, approvals, and feedback. Delays caused by you, by third parties, or by circumstances outside our control may move timelines, and we are not liable for delays arising from those causes.
Changes to an agreed scope ("change requests") must be agreed in writing and may affect the fees and timeline.
Fees are set out in your Proposal and are quoted in South African Rand (ZAR), exclusive of VAT unless stated otherwise. Unless the Proposal says otherwise:
We may pause or suspend work, and withhold Deliverables, while any invoice is overdue. Late payments may attract interest at the rate permitted under South African law. You remain responsible for any third-party tool, software, hosting, or subscription costs required to run what we build, unless your Proposal expressly includes them.
Because our Services involve dedicated time and custom work, the following applies:
To deliver the Services, we rely on you to:
You are responsible for how you use the Deliverables once delivered, including any decisions you make based on AI outputs.
We retain all rights in our Background IP. Nothing in an engagement transfers ownership of our frameworks, methodologies, templates, code libraries, prompts, or reusable components to you.
On full payment of all fees due for an engagement, and unless your Proposal states otherwise:
Unless you ask us in writing to keep an engagement confidential, you agree that we may reference the fact that we worked with you and may showcase non-confidential Deliverables, anonymised results, and screenshots as part of our portfolio and marketing.
AI Systems are probabilistic, not deterministic. They can produce output that is inaccurate, incomplete, biased, outdated, or otherwise unsuitable, sometimes confidently so.
You acknowledge and agree that:
You are responsible for ensuring that your use of any AI System we build or recommend complies with all laws that apply to you, including data protection, consumer, and sector-specific rules.
Our Deliverables often integrate third-party platforms, APIs, models, and software. We are not responsible for the acts, omissions, availability, pricing, or terms of those third parties. Your use of them is governed by their own terms, and you are responsible for maintaining your own accounts, subscriptions, and credentials with them.
We warrant that we will perform the Services with reasonable skill and care. Except as expressly stated in these Terms or your Proposal, and to the maximum extent permitted by law, the Services and Deliverables are provided "as is" and we exclude all other warranties, whether express or implied.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or under any non-excludable provision of the Consumer Protection Act.
To the maximum extent permitted by law:
Each party may receive confidential information from the other. Both parties agree to keep the other's confidential information private, to use it only for the engagement, and not to disclose it to third parties except where required by law or to advisers under a duty of confidence. This obligation continues after the engagement ends.
Where we process personal information on your behalf, we do so in line with the Protection of Personal Information Act 4 of 2013 (POPIA). We will process such information only to provide the Services, apply reasonable security safeguards, and not retain it longer than necessary.
You confirm that you have a lawful basis to share any personal information you provide to us, and that doing so does not breach any law or obligation you are subject to. Where required, the parties will put a separate data processing agreement in place.
These Terms apply for the duration of each engagement. Either party may terminate an engagement on 14 days' written notice, or immediately if the other party commits a material breach that is not remedied within 7 days of written notice, or becomes insolvent.
On termination, you must pay for all Services performed and costs committed up to the termination date. Clauses that by their nature should survive termination, including those on intellectual property, confidentiality, liability, and governing law, continue to apply.
Neither party is liable for failure or delay caused by events beyond its reasonable control, including outages, third-party provider failures, load shedding, natural events, or changes in law. Affected obligations are suspended for the duration of the event.
If a dispute arises, the parties will first try to resolve it in good faith through discussion. If it cannot be resolved within 30 days, the parties may refer it to mediation, and failing that, to the courts of South Africa. Nothing prevents either party from seeking urgent interim relief.
These Terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts.

Legal
This policy explains when refunds are and are not available for our AI implementation, employee training, and consulting services, how to request one, and what happens if you dispute a payment.
Short version: deposits secure your slot on our calendar and become non-refundable once we schedule or start work. Work we have already delivered is payable in full. Training sessions cancelled with less than 48 hours notice may be charged in full. If something has gone wrong, contact us first at thato@fortuneandtreasure.com so we can resolve it directly, before you consider a chargeback.
This is a summary. The full policy below is what applies.
This policy applies to purchases of our paid professional services from Fortune & Treasure Trading Projects (Pty) Ltd ("Fortune & Treasure", "we", "us"), namely AI implementation, AI employee training, and consulting engagements. It forms part of, and should be read together with, our Terms & Conditions. Where the two documents differ, the Terms & Conditions govern.
It does not cover our free community offerings or third-party tools we recommend, which are handled by their own separate policies.
Our services are custom professional work. When you book us, we reserve capacity on our calendar, decline other engagements for that window, and commit our time and resources to your project. Once we have done so, that capacity cannot be resold, which is why the rules below apply.
A deposit is required to confirm your booking on any engagement. The deposit is:
If you postpone rather than cancel, we will do our best to move your booking to a new date at no extra cost, subject to our availability.
You may cancel an engagement at any time by giving us written notice. On cancellation:
Where the engagement is priced as a fixed-fee package, we will calculate work completed on a fair and reasonable basis, using the milestones or scope items in your Proposal as a guide.
Once a deliverable has been completed and handed over to you, it is not refundable. Services rendered cannot be returned, and the value we have provided cannot be un-provided.
If a completed deliverable does not match what was agreed in your Proposal, that is a different situation and is handled under section 08 below (if something has gone wrong).
For scheduled training sessions:
Recorded reference videos included with training remain accessible for the support period stated in your Proposal.
Retainer, care plan, and other recurring subscription services are billed in advance for the coming period. You may cancel at any time with written notice, and the cancellation takes effect at the end of your current billing period. Fees already paid for the current period are not refunded on a pro-rata basis, but you retain access to the service until the period ends.
If you are unhappy with the Services or believe a deliverable does not match what was agreed, please tell us before you request a refund or raise a dispute. In most cases we can fix it faster than any refund process would resolve it.
Where we agree that we have not met what was set out in your Proposal, our first step is to remedy the issue at no extra cost to you. Depending on the situation, that may include:
If you have a billing concern, please raise it with us first using the process in section 09. Contacting us directly is faster than a chargeback, and it lets us resolve the issue without involving your bank or card network.
You agree not to initiate a chargeback, payment reversal, or bank dispute for Services that have been properly provided and are covered by this policy. A chargeback raised in breach of this policy or our Terms & Conditions may be treated as a debt owed to us, together with any bank fees, dispute costs, and reasonable collection costs we incur.
Nothing in this policy limits any right you have under South African law that we cannot lawfully exclude. This includes rights under the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002 where they apply to you.
We may update this policy from time to time. The version in force on the date you accept a Proposal or make a payment is the one that applies to that transaction. Material changes will be published on this page with an updated effective date.
